Terms of Service

These Terms of Service ("Terms") govern your use of the Board Excellence Assessment platform ("Service") provided by OrgHealth Inc., dba OrgHealth. By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally capable of entering into contracts to use the Service.

2. Accounts

  • You are responsible for keeping your account credentials secure.
  • You must provide accurate information when creating an account.
  • You are responsible for all activity under your account.

3. Acceptable Use of the Service

You agree not to:

  • Use the Service for unlawful or harmful purposes.
  • Interfere with or disrupt the platform.
  • Attempt to access data you are not authorized to view.

4. Fees & Payments

  • Paid features (e.g., final report generation) are processed by Stripe. Prices are shown prior to purchase.
  • Except where required by law, purchases are non-refundable.

5. Data & Assessments

  • Assessment data and reports belong to the account owner (the purchasing organization).
  • You are responsible for obtaining necessary permissions from board members before adding their information.
  • Deleting your account will permanently remove all assessments, participants, and reports associated with it.

6. Intellectual Property & Ownership

The Board Excellence Assessment platform, the Governance Excellence Model (GEM), and related content are the intellectual property of OrgHealth. You may not copy, modify, or resell the Service or its content without express permission.

7. Termination

We may suspend or terminate accounts that violate these Terms or misuse the Service. You may cancel your account at any time.

8. Disclaimers & Limitation of Liability

The Service is provided "as is." To the maximum extent allowed by law, we are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the fees you paid in the 12 months before the claim.

9. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles.
